1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "you" or "Customer") and Engrami Inc. ("Engrami," "we," "us," or "our") governing your access to and use of the Engrami platform, including our website, APIs, SDKs, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Engrami provides an enterprise AI agent platform that enables organizations to build, deploy, and manage AI agents with persistent memory, decision intelligence, and multi-agent coordination capabilities. The Services include:
- Control Plane: Dashboard, APIs, and management tools for configuring and monitoring AI agents
- Data Plane: Runtime environment for agent execution and data storage
- Memory Systems: Semantic, episodic, procedural, and decision graph memory stores
- Multi-Agent Collectives: Multi-agent orchestration and coordination features
- Integrations: Connectors to third-party services and platforms
- SDKs and APIs: Development tools for building custom agents
3. Account Registration
To access the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Generate content that is illegal, harmful, threatening, abusive, or discriminatory
- Infringe upon intellectual property rights of others
- Engage in automated data collection without our consent
- Resell or redistribute the Services without authorization
- Use the Services for competitive analysis or to build a competing product
5. Customer Data
"Customer Data" means all data, content, and information that you or your users submit to, store in, or process through the Services.
- Ownership: You retain all rights, title, and interest in your Customer Data.
- License: You grant us a limited license to use Customer Data solely to provide the Services.
- Responsibility: You are responsible for the accuracy, quality, and legality of Customer Data.
- Data Protection: We will process Customer Data in accordance with our Privacy Policy and applicable data protection laws.
6. Fees and Payment
6.1 Pricing
The Services are provided on a usage-based pricing model. Current pricing is available on our website. We may update pricing with 30 days' notice.
6.2 Credits
Usage is measured in Engrami tokens (1 USD = 100 tokens). New accounts receive 5,000 welcome tokens. Additional tokens can be purchased through the platform.
6.3 Payment Terms
Payments are processed through Stripe. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
7. Intellectual Property
7.1 Our Intellectual Property
The Services, including all software, algorithms, user interfaces, designs, and documentation, are owned by Engrami and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
7.2 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a royalty-free, worldwide, perpetual license to use such feedback for any purpose.
8. Service Level Agreement
For Enterprise plan customers, we offer a Service Level Agreement (SLA) with the following commitments:
- 99.9% uptime for the Control Plane
- 24/7 monitoring and incident response
- Service credits for downtime exceeding SLA commitments
Detailed SLA terms are provided in the Enterprise Agreement.
9. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform obligations under these Terms. Confidential information does not include information that is publicly available, rightfully received from third parties, or independently developed.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain errors or inaccuracies and should be reviewed before use.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGRAMI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ENGRAMI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Engrami and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
13. Term and Termination
13.1 Term
These Terms are effective until terminated by either party.
13.2 Termination by You
You may terminate your account at any time through the platform settings or by contacting support.
13.3 Termination by Us
We may suspend or terminate your access to the Services if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk.
13.4 Effect of Termination
Upon termination, your right to use the Services will cease. You may request export of your Customer Data within 30 days of termination. Provisions that by their nature should survive termination will survive.
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be resolved through binding arbitration administered by JAMS in San Francisco, California, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Engrami regarding the Services.
- Amendments: We may modify these Terms at any time. Continued use of the Services constitutes acceptance of modified Terms.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Assignment: You may not assign these Terms without our prior written consent.
